Terms of Service

In short: listings are for businesses only; they are ordered by the amount paid; name, city and country cannot be changed after the first payment; and all payments are final and are not refunded (section 6).
1. Scope and provider
These Terms of Service govern the use of TopFoodSpot (topfoodspot.com) for placing paid listings. The service is provided by Rakesh Murthy, trading as SR Digital, Jevenstedter Str. 33 a, 22547 Hamburg, Germany, VAT ID DE463164272 ("TopFoodSpot", "we"). Paid listings are offered exclusively to businesses (entrepreneurs within the meaning of § 14 BGB), such as restaurants, cafés and other eateries. Conflicting terms of the customer do not apply.
2. The service
TopFoodSpot publishes a public directory of eateries. Businesses can create a listing (name, short description, type of place, city, Instagram profile, website, Google Maps link) and pay to have it displayed. Visitors can browse the directory free of charge and follow links to the listed businesses.
3. Account
Creating a listing requires signing in with an email address via a link that can be used only once. You are responsible for keeping access to your email account secure and for all actions taken through your account. You can delete individual listings or your whole account at any time in your dashboard; this cannot be undone, and section 6 applies to payments already made.
4. Listings and order
Listings are paid placements. A listing is published once its first payment has been confirmed. Two lists are shown: "Today's Top Listings" is ordered by the amount paid for a listing on the current calendar day (Europe/Berlin) and starts fresh every day at midnight; "Top Listings of All Time" is ordered by the total amount paid for a listing. The name, city and country of a listing cannot be changed after its first payment; its description, links and types can be changed at any time. If amounts are equal, the listing that reached the amount first is shown first, meaning the one whose latest payment counting for that list was made earlier. Other businesses can pay more at any time, so positions change. We do not guarantee any particular position, duration of a position, or number of visits or clicks.
5. Prices, VAT and payment
You choose the amount of each payment; the minimum is €4 per payment (net). All prices are in euros, and payments are charged in euros only. If your account is in another currency, your bank converts the amount; amounts shown in other currencies are approximate and not binding. Statutory VAT is added where it applies and is shown separately at checkout: businesses in Germany pay German VAT; for businesses in other EU countries with a valid VAT ID, the reverse charge procedure applies; businesses outside the EU are not charged German VAT and are responsible for any taxes in their own country. Payment is due immediately and is processed by our payment provider Stripe. Each payment's net amount is added to the total of the listing. You receive an invoice for every payment; business details (company name, VAT ID) can be entered on the payment page.
6. No refunds
Payments are a fee for the publication and placement of a listing and are not refundable, including when other businesses move ahead of your listing or when you delete your account. Statutory rights, in particular in the event of a failure of our service for which we are responsible, remain unaffected. As the service is offered to businesses only, a consumer right of withdrawal does not apply.
7. Your content
You are responsible for the content of your listing. It must be accurate, relate to a real eatery that you are authorised to represent, and must not infringe the rights of third parties or applicable law. You grant us a right of use, which is not exclusive and free of charge, to display, reproduce and adapt the listing content for operating and promoting TopFoodSpot for as long as the listing is published.
8. Removal of listings
We may reject, edit or remove listings that violate these terms or the law, are misleading, offensive or link to harmful content, or where we have a legitimate reason to do so. In the case of removal due to a violation by you, there is no entitlement to a refund. We will inform you of a removal by email.
9. Availability
We aim to keep TopFoodSpot available at all times, but we do not guarantee uninterrupted availability. Maintenance, technical problems or circumstances beyond our control may cause interruptions.
10. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence, we are liable only for the breach of essential contractual obligations, limited to the foreseeable damage typical for this type of contract. Liability under the Product Liability Act remains unaffected. Otherwise, our liability is excluded.
11. Changes to these terms
We may change these terms for the future. We will inform you of changes by email or on the website in good time. The version accepted at the time of a payment applies to that payment.
12. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Hamburg, Germany.
